Abstract：
本文对现代公司治理结构的本质与分析方法进行了分析和探讨，并对国内外有关公司治理结构研究结果产生分歧的原因进行了剖析；在上述基础上，运用系统等方法诊断了中国上市公司治理结构的主要症结，提出了进一步完善中国上市公司治理结构的基本思路。
